In the event of any conflict between these Terms of Service and a signed Service Agreement, the terms of the signed agreement shall govern.

3. User Obligations and Acceptable Use

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality available on our website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, code, and the design and arrangement thereof, is owned by UTAH COUNTY HOME CARE, LLC, its licensors, or other providers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our website for your personal or internal business purposes. 4.2 Deliverables and Work Product

Upon full payment for services rendered, we grant you a perpetual, non-exclusive, non-transferable license to use the deliverables and work product created specifically for you in the course of an engagement. We retain ownership of all pre-existing materials, tools, methodologies, frameworks, and know-how used in the performance of our services. Any intellectual property created by us that is not specific to your engagement remains our sole property.

4.3 Client Materials

You retain all ownership rights in any materials, data, or information you provide to us for the purpose of our engagement. You grant us a limited, non-exclusive license to use such materials solely as necessary to perform the agreed-upon services.

4.4 Trademarks

The Utah County Home name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of UTAH COUNTY HOME CARE, LLC or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on our website are the trademarks of their respective owners.

5. Fees and Payment

5.1 Service Fees

Fees for our professional services are outlined in the applicable Statement of Work, Service Agreement, or proposal. Unless otherwise specified, all fees are quoted in United States Dollars and are exclusive of applicable taxes, which shall be your responsibility.

5.2 Payment Terms

Payment terms are specified in the applicable Service Agreement. Unless otherwise agreed, invoices are due within thirty days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services if payment is not received when due.

5.3 Expenses

Unless otherwise specified in the Service Agreement, you agree to reimburse us for reasonable out-of-pocket expenses incurred in connection with the performance of our services, including travel, lodging, and third-party software or service fees, provided such expenses are pre-approved by you in writing.

6. Confidentiality

Each party agrees to hold in confidence all non-public information disclosed by the other party, whether in written, oral, electronic, or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Neither party shall use the other party's confidential information for any purpose other than to perform its obligations or exercise its rights under these Terms and any applicable Service Agreement.

Confidentiality obligations shall not apply to information that: (a) is or becomes generally available to the public other than through a breach of this provision; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is independently developed by the receiving party without use of the disclosing party's confidential information; or (d) is required to be disclosed by law, regulation, or court order, provided the receiving party gives prompt notice to the disclosing party to allow an opportunity to seek a protective order.

7. Disclaimer of Warranties

YOUR USE OF OUR WEBSITE AND SERVICES IS AT YOUR SOLE RISK. OUR WEBSITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UTAH COUNTY HOME CARE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OF SERVICE OR ANY SERVICE AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THE EXISTENCE OF MORE THAN ONE CLAIM SHALL NOT ENLARGE THIS LIMIT.

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless UTAH COUNTY HOME CARE, LLC, its officers, directors, employees, agents, contractors, licensors, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms of Service; (b) your use of our website or services; (c) your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights; and (d) any claim that your materials or data caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses.

10. Termination

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter, whether in contract, tort, or otherwise, shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or related to these Terms of Service shall be instituted exclusively in the federal or state courts located in Utah County, Utah. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at team@utahcountyhome.mom and attempt to resolve the dispute informally. We will also attempt to resolve the dispute informally with you. If the dispute is not resolved within sixty days of such notice, either party may proceed with formal legal action.

12.2 Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Third-Party Links and Services

Our website may contain links to third-party websites, applications, or services that are not owned or controlled by Utah County Home. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. 14. General Provisions

These Terms of Service, together with any applicable Service Agreement, Statement of Work, Privacy Policy, and any other document expressly incorporated by reference, constitute the entire agreement between you and Utah County Home regarding the use of our website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

14.2 Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver by Utah County Home of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms of Service, or any rights or obligations hereunder, without our prior written consent. We may assign or transfer these Terms of Service at our sole discretion without restriction. Any attempted assignment or transfer in violation of this section shall be null and void.

14.5 Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, storm, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, utility failures, or governmental actions.

14.6 Relationship of the Parties

Nothing in these Terms of Service shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Utah County Home. Each party is an independent contractor.

15. Changes to Terms

We reserve the right to modify or update these Terms of Service at any time at our sole discretion. When we make changes, we will update the Last Updated date at the top of this page. It is your responsibility to review these Terms periodically for changes. Your continued use of our website or services following the posting of revised Terms constitutes your acceptance of the changes.

For material changes, we will make reasonable efforts to provide notice through our website or via email to clients with active engagements. However, the absence of such notice shall not affect the effectiveness of the changes.
